Capitalized terms not defined herein shall have the meanings ascribed to them in the Main Agreement and the Privacy Policy.<\/p>\n\n\n\n<p>To the extent of any conflict between this Supplementary Agreement and the Main Agreement, this Supplementary Agreement shall prevail with respect to the AI Assistant Function.<\/p>\n\n\n\n<p><strong>If you have any questions about the contents of this Agreement, do not click to confirm or proceed to the next step. You may contact Looperbuy Customer Service for inquiries, and we will provide you with explanations and clarifications. By clicking to confirm on the web page or accepting this Agreement via any other method approved by us, you shall be deemed to have entered into this Agreement with Looperbuy and agreed to all its terms and provisions.<\/strong><\/p>\n\n\n\n<p>This Agreement may be updated by Looperbuy from time to time. Non-material changes (including but not limited to clarifications, service description updates, and operational adjustments) shall take effect upon publication. For material changes that significantly affect your rights or obligations under this Agreement, Looperbuy will provide prior notice (via email or in-platform notification). If you do not accept such material changes, you may stop using the Service and terminate this Agreement within 30 days of such <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Definition<\/strong>\n<ul class=\"wp-block-list\">\n<li><strong style=\"color: initial;\">Services <\/strong><span style=\"color: initial;\">means the AI-powered e-commerce assistant function provided by Looperbuy, which leverages third-party AI models to generate product images, organize and optimize product listing information, and publish or update such content on your e-commerce store through the Authorization.<\/span><\/li>\n\n\n\n<li><strong style=\"color: initial;\">AI Models<\/strong><span style=\"color: initial;\"> means third-party large language models, image generation models, or other artificial intelligence technologies that Looperbuy integrates to provide the Service. Looperbuy does not own, control, or operate the underlying AI models and acts solely as an intermediary to facilitate their use.<\/span><\/li>\n\n\n\n<li><strong style=\"color: initial;\">User <\/strong><span style=\"color: initial;\">means you, the valid registered merchant of the Looperbuy platform and uses the AI Assistant Function under this Agreement.<\/span><\/li>\n\n\n\n<li><a><strong>Authorization<\/strong><\/a><span style=\"color: initial;\"> means the permission granted by you to Looperbuy, through the applicable e-commerce platform&#8217;s API or similar integration mechanisms, to access your e-commerce store account for the purposes of: (a) retrieving product data as Input for the Service; and (b) publishing, updating, or managing Output (including product listings, images, descriptions, and other listing information) on your e-commerce store in accordance with your configured settings. You represent and warrant that you have the authority to grant such Authorization and that your use of the API complies with the applicable e-commerce platform&#8217;s terms of service.<\/span><\/li>\n\n\n\n<li><strong style=\"color: initial;\">Input <\/strong><span style=\"color: initial;\">means any and all information, data, images, product listings, or other materials that you provide into the Service, whether uploaded manually or retrieved from your e-commerce store through the Authorization, for the purpose of using the Service<\/span><\/li>\n\n\n\n<li><strong style=\"color: initial;\">Output <\/strong><span style=\"color: initial;\">means Output means any and all content, including but not limited to product images, descriptions, titles, attributes, and other listing data, that is generated or processed by third-party AI models through the Service based on your Input, and may be published or updated on your e-commerce store via the Authorization.<\/span><\/li>\n\n\n\n<li><strong>Content<\/strong> means collectively means both Input and Output.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a><strong>Services <\/strong><\/a><\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Services provides you with AI-powered e-commerce assistant functions, subject to the specific features supported by the platform and available to you at the time of use. Such functions may include:<ul><li>Product Image Processing \u2014 Generate, edit, or translate product images based on your source images, including intelligent erasing, cropping, matting, and other image editing features.Listing Information Organization \u2014 Generate, optimize, or translate product titles, descriptions, attributes, and other listing data based on your product information.Category Matching \u2014 Automatically suggest or complete product category associations based on your product information.Package Size &amp; Weight Estimation \u2014 Provide preliminary estimates of product dimensions and weight where such data is not already available.Automated Publishing \u2014 Through the Authorization, publish or update generated content (including images, listing information, and pricing) directly to your e-commerce store according to your configured settings.You may configure the scope, frequency, and logic of the Services through your account settings. The Service will follow your configured instructions.You represent and warrant that the Authorization you grant to Looperbuy is valid, lawful, and sufficient to enable Looperbuy to access your e-commerce store and retrieve Input or publish Output as described in this Agreement. You are solely responsible for maintaining such Authorization in accordance with the applicable e-commerce platform&#8217;s terms of service. Looperbuy shall not be liable for any suspension, revocation, or limitation of the Authorization by the e-commerce platform.<a>The Services act as an intermediary between you and third-party AI models. Looperbuy does not control or endorse the content generated by third-party AI models and does not claim any ownership over such content. Looperbuy retains your Input and Output only for the duration necessary to provide the Services and in accordance with applicable data protection laws.<\/a>\u00a0You shall not use the Services for any illegal, harmful or abusive activities. This includes infringing upon the rights and interests of third parties, distributing pornographic content, committing fraud, or making false representations that non-human-generated Output is human-created.You shall be responsible for your Content and ensure that it complies with all applicable laws and the terms of service of the applicable e-commerce platform. You represent and warrant that you hold all necessary rights, licenses and authorizations to submit inputs to our Services.You retain ownership of your Input and any Output generated through the Service. Output may be used for commercial purposes at your discretion. Looperbuy does not claim ownership of your Content. You represent and warrant that you have all necessary rights to provide the\u00a0 Input and to use the Output for your intended purposes.Due to the probabilistic nature of AI technology, the Output may not be unique and may not be accurate under all circumstances.You must review and assess the Output before using or publishing it. Looperbuy does not guarantee that the Output will meet your expectations or be error-free.Looperbuy may use aggregated, de-identified data derived from your use of the Service to improve the Service.<a> If you do not wish your Content to be used for model training, you may opt out at any time via your account settings.<\/a> Please note that opting out will not affect your ability to use the core features of the Service. For Brazilian users, opting out will not result in any limitation or degradation of the Services provided to you.<\/li><\/ul>\n<ul class=\"wp-block-list\">\n<li>The Service generates AI-powered content. In compliance with applicable laws, the Output may include markers (such as watermarks or metadata tags) indicating that the content is AI-generated. You shall not remove, alter, or obscure such markers.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li><strong>Payment Terms<\/strong><ul><li>Fees for the Service will be displayed on the order page. You may select a plan and make payment at the price shown.<\/li><\/ul>\n<ul class=\"wp-block-list\">\n<li>Payment is non-refundable once made. All purchased Credits are final and will not be refunded or exchanged, except as may be required by applicable law.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li><strong>Suspension and Termination<\/strong><ul><li>You understand and agree that the Services provided by us is delivered on an &#8220;as-is&#8221; basis subject to current technologies and conditions. We will use reasonable endeavors to provide continuous and secure Services. You acknowledge that we cannot foresee or prevent all technical and other risks. Such risks include, without limitation, service disruption, malfunction of the Services, as well as other losses and hazards arising from force majeure, network failures, defective third-party services, third-party websites and other factors.<\/li><\/ul>\n<ul class=\"wp-block-list\">\n<li>You understand and agree that for the purposes of overall operation and platform security, we reserve the right to adjust the settings and scope of Services or functions, and to modify, suspend or terminate the Service as appropriate.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li><strong>\u00a0\u00a0Suspension and Termination<\/strong>\n<ul class=\"wp-block-list\">\n<li>Looperbuy may suspend or terminate your access to the Services under the following circumstances:<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<p>&nbsp; (1) Mutual agreement \u2014 Both parties agree in writing.<\/p>\n\n\n\n<p>&nbsp; (2) Material breach by you \u2014 If you materially breach this Agreement, Looperbuy may terminate the Services and delete your data.<\/p>\n\n\n\n<p>&nbsp; (3) Force majeure or legal prohibition \u2014 If the Services becomes unavailable due to events beyond Looperbuy&#8217;s reasonable control, or continued provision would violate applicable law.<\/p>\n\n\n\n<p>&nbsp; (4) Services modification or discontinuation \u2014 Looperbuy may modify, suspend, or discontinue the Services (or any part thereof) for business or technical reasons. Looperbuy will provide you with at least 30 days&#8217; prior notice via email or in-platform notification.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>In the event the Service is discontinued under Section 5.1(4), any unused prepaid fees shall be refunded on a pro-rata basis.<ul><li>\u00a0\u00a0No refunds shall be provided for terminations under other circumstances.<\/li><\/ul>\n<ul class=\"wp-block-list\">\n<li>Looperbuy may assign this Agreement, in whole or in part, to an affiliate or successor entity in connection with a merger, acquisition, or business restructuring. Looperbuy will notify you of such assignment.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li><strong>Disclaimer and Limitation of Liability<\/strong><ul><li>The Service is provided on an &#8220;as-is&#8221; and &#8220;as available&#8221; basis. To the fullest extent permitted by applicable law, Looperbuy disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.<\/li><\/ul><ul><li>Looperbuy does not guarantee that: (a) the Service will meet your requirements or be uninterrupted, timely, secure, or error-free; (b) the Output will be accurate, reliable, or suitable for any specific purpose; or (c) any errors in the Service will be corrected.<\/li><\/ul><ul><li>You acknowledge that the Service relies on third-party AI models and third-party e-commerce platforms. Looperbuy is not liable for any acts, omissions, or failures of such third parties.<\/li><\/ul><ul><li>In no event shall Looperbuy&#8217;s aggregate liability arising out of or related to this Agreement exceed the total fees paid by you for the Service in the 12 months preceding the event giving rise to the claim.<\/li><\/ul><ul><li>You agree to indemnify and hold Looperbuy harmless from any claims, losses, or damages arising from: (a) your breach of this Supplement Agreement; (b) your Input infringing third-party rights; or (c) your use of the Output in violation of applicable law or T&amp;C of e-commerce platform.<\/li><\/ul>\n<ul class=\"wp-block-list\">\n<li>Nothing in this Section 6 limits or excludes liability that cannot be limited or excluded under applicable law.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li><strong>Miscellaneous<\/strong><ul><li>This Agreement is supplemental to the Main Agreement. Matters not expressly covered herein shall be governed by the Main <a>Agreement<\/a>.If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in effect.<\/li><\/ul>\n<ul class=\"wp-block-list\">\n<li>Looperbuy may provide notices under this Agreement via email or in-platform notification.
